GAMEE, a mobile web3 gaming platform and subsidiary of Animoca Brands, is poised to become the first web3 gaming company listed on Nasdaq. This follows a newly signed letter of intent between Animoca Brands and AlphaTON Capital, a Nasdaq-listed digital asset firm. The agreement outlines plans for AlphaTON to acquire a controlling stake in GAMEE and invest directly in its GMEE and WAT tokens.

The deal signals a major moment in the growth of web3 gaming, especially within the Telegram platform, where GAMEE holds a large presence. 

AlphaTON's Strategic Push into Web3 Gaming

AlphaTON Capital, listed under the symbol ATON, has signed a non-binding letter of intent to buy 51% of GAMEE's equity from Animoca Brands. Along with this, AlphaTON plans to acquire 51% of the GMEE and WAT tokens held in GAMEE's treasury.

To further grow its digital asset position, AlphaTON has also committed to purchasing up to $3 million worth of GMEE tokens and $1 million worth of WAT tokens on the open market. These steps are part of the team's broader goal of building a strong presence in the Telegram-based web3 gaming space.

GAMEE has already onboarded over 119 million registered users across its platforms. Out of these, more than 61 million are within the Telegram ecosystem alone. The company has recorded over 10 billion gameplay sessions, showing high user activity and engagement across mobile platforms.

AlphaTON sees this acquisition as a key step in expanding gaming within Telegram's network, which has over a billion monthly active users. Telegram's platform is also supported by TON, the blockchain on which both AlphaTON and GAMEE operate.

Strengthening Web3 Access Through Telegram

The agreement between the two companies is built on a shared vision of making web3 tools and services easier to access by using platforms that already have large audiences. Telegram, with its global user base, offers a strong base for such expansion.

Yat Siu, co-founder and executive chairman of Animoca Brands, said this move would be historic for the space. "The potential strategic acquisition of GAMEE by ATON would mark an important milestone for web3 gaming and the TON ecosystem, where GAMEE is a leading game ecosystem. We believe that this deal, if completed, would not only make GAMEE the first Nasdaq-listed web3 gaming company with gaming assets listed on a major exchange, but also demonstrate how digital asset companies can extend into profitable operating companies such as GAMEE, and use profits to continue to accumulate digital assets," he stated.

AlphaTON CEO Brittany Kaiser shared that her firm is focused on backing strong founders in the Telegram and TON space. "The intended strategic acquisition of GAMEE shows our conviction in both the brilliance of its team as well as the high-growth opportunity presented by its user base of over 61 million users on the Telegram platform," Kaiser said.

She added that GAMEE could drive the adoption of open-source and decentralized tech within this fast-growing digital community. "We believe GAMEE can facilitate the mass adoption of open-source and decentralized technologies such as TON. We would be honored for the GAMEE team to join us as we embark on harnessing the biggest opportunity in digital assets," she said.

The proposed transaction is still pending final terms and other typical closing requirements.

With AlphaTON's backing and Nasdaq listing, GAMEE is expected to reach more users and attract wider investor interest.

Animoca Brands' Tokenization Efforts Also Making News

This announcement comes just days after another major development from Animoca Brands. The company has teamed up with Republic to tokenize its equity on the Solana network.

Republic's plan will allow Animoca's shares to be traded as tokens. These will be minted on Solana and held in digital wallets, making private equity shares more accessible and easier to trade. The company's goal is to bring more liquidity and global access to its private shares.
