Alpha Compute Takes Control of GAMEE
Nasdaq-listed Alpha Compute Corp. has completed its acquisition of a 60% controlling interest in GAMEE, the mobile gaming and digital rewards platform, the company confirmed on May 27, 2026. The stake was acquired from Animoca Brands, GAMEE's parent company since 2020. GAMEE announced the closing through its official channel, framing the move as the beginning of a new chapter that brings together its gaming platform, the GMEE token, and its community with Alpha Compute's AI infrastructure.
The stated goal is to unlock new possibilities for AI-powered gaming experiences and digital ownership. Alpha Compute is positioning the acquisition as the foundation of a new division called Alpha Games, focused on AI-driven gaming. GAMEE founder Bozena Rezab will take on the role of Executive Vice President within the new venture, retaining a leadership position through the transition.
The market reacted quickly. Alpha Compute stock surged around 30% following the announcement, trading near 0.51 USD compared to a previous close of 0.36 USD, though the company maintains a modest market capitalization of roughly 12.3 million USD.
Deal Structure and Valuation
The transaction values GAMEE at an implied valuation of 18 million USD, with total consideration of up to 11 million USD structured across three phases. The closing consideration is 3.5 million USD. A Year 1 earn-out of up to 3.5 million USD includes 1.0 million ALP shares valued at 1.50 USD per share, contingent on GAMEE achieving annual EBITDA of 1.2 million USD, with a pro-rata payout if EBITDA lands above zero but below that threshold. A Year 2 earn-out of up to 4.0 million USD is contingent on GAMEE reaching annual EBITDA of 1.6 million USD, split between cash and ALP shares.
The earn-out structure is designed to mitigate upfront consideration risk by tying a large portion of the payment to GAMEE's performance over a two-year window. Beyond the cash and share components, Alpha Compute has agreed to acquire an additional 2 million USD of GMEE tokens within 90 days of closing.
As part of the deal, assets from Animoca Brands' treasury were also transferred, including approximately 878 million GMEE tokens, valued at around 1,830,630 USD based on the prior day's closing price. That tranche represents 51% of Animoca's GMEE holdings and has been added to the Alpha Compute balance sheet. Animoca Brands has also signed a two-year standstill agreement that prohibits it from acquiring a controlling position in Alpha Compute.
The Road to Closing
The acquisition followed a multi-month process. On September 30, 2025, the company then known as AlphaTON Capital Corp. and Animoca Brands announced a non-binding letter of intent proposing equity and token investments, including the potential acquisition of a controlling interest in GAMEE. Animoca Brands co-founder and Executive Chairman Yat Siu described the deal as an important strategic milestone at the time.
On March 19, 2026, AlphaTON Capital entered into a definitive Share Purchase Agreement to acquire the 60% controlling interest for total consideration of up to 11 million USD. Concurrent with signing, the two parties formalized a Strategic Alliance to identify and develop commercial opportunities across blockchain and social gaming. The closing was later pushed to May 2026, pending completion of GAMEE's 2025 annual financial audit, which was a required condition to close. The company has since rebranded from AlphaTON Capital Corp. to Alpha Compute Corp.

GAMEE was founded in 2015 and became a wholly owned subsidiary of Animoca Brands in 2020.
